These Terms of Service ("Terms") govern your access to and use of the Averion Health LLC website and technology platform (the "Platform"). By using the Platform you agree to these Terms.

1. THE PLATFORM Averion Health LLC operates a non-clinical technology and operational platform that supports independent, physician-owned medical practices. Averion Health LLC does not practice medicine, does not employ the clinicians who deliver care, and is not responsible for clinical decisions.

2. MEDICAL DISCLAIMER Content on the Platform is for informational purposes only and is not medical advice. Medical services are provided by independent, licensed physicians and their affiliated medical practices, who are solely responsible for the care delivered. Use of the Platform does not create a physician-patient relationship with Averion Health LLC.

3. ELIGIBILITY You must be at least 18 years of age and a U.S. resident in a state where the affiliated medical practice is authorized to operate. You agree to provide accurate, complete information, to keep your account credentials secure, and to notify us of any unauthorized access.

4. APPLICATIONS & PAYMENT Completing an application, questionnaire, or lab order does not guarantee qualification for treatment. Treatment is issued solely at the discretion of the prescribing clinician. You authorize the charges disclosed at checkout. Refunds are granted in the circumstances described in our refund policy and otherwise at our discretion.

5. COMPOUNDED & PRESCRIPTION MEDICATIONS Any compounded medications referenced on the Platform are not FDA-approved. They are prepared by licensed compounding pharmacies in accordance with applicable regulations. All prescription medications require a valid prescription from a licensed clinician.

6. INTELLECTUAL PROPERTY All trademarks, service marks, logos, text, graphics, and software on the Platform are owned by Averion Health LLC or its licensors. You may not copy, modify, or redistribute Platform content without our written permission.

7. USER CONDUCT You agree not to misuse the Platform, circumvent security measures, scrape data, interfere with service, or submit false information. We may suspend or terminate accounts for violations.

8. WARRANTY DISCLAIMER THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. AVERION HEALTH LLC DISCLAIMS ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE ANY SPECIFIC MEDICAL OUTCOME.

9. LIMITATION OF LIABILITY TO THE MAXIMUM EXTENT PERMITTED BY LAW, AVERION HEALTH LLC IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. INDEMNIFICATION You agree to indemnify and hold harmless Averion Health LLC, its affiliates, officers, and employees from any claims arising out of your use of the Platform or your violation of these Terms.

11. ARBITRATION & CLASS-ACTION WAIVER Any dispute arising out of or relating to these Terms or the Platform will be resolved by binding individual arbitration, not in court, and not as a class action. This clause does not prevent either party from seeking injunctive relief in court for intellectual-property infringement.

12. GENERAL These Terms, together with the Privacy Policy and any additional terms for specific services, constitute the entire agreement between you and Averion Health LLC. If any provision is unenforceable, the remainder remains in effect. We may update these Terms by posting a revised version; continued use after the effective date means acceptance. Questions?
